Agreement to Terms
These Terms and Conditions ("Terms") govern your use of the Catalyst Partners website and our business consulting services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our services.
Catalyst Partners reserves the right to update or modify these Terms at any time without prior notice. Your continued use of our services following any changes constitutes acceptance of the new Terms.

2. Use of Services
2.1 Eligibility
- Services are available to businesses and individuals aged 18 years or older
- You must have the legal authority to enter into binding agreements
- Corporate clients must be authorized representatives of their organizations
- You must provide accurate and complete information when engaging our services
2.2 Service Engagement
- Consulting services are provided under separate engagement agreements
- Scope, deliverables, and fees are defined in individual project proposals
- Services are provided on a professional best-efforts basis
- Client cooperation and timely information provision are essential for service delivery
2.3 Account Responsibilities
- Maintain confidentiality of account credentials if applicable
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
- Ensure all information provided is current and accurate
3. Prohibited Uses
Users may not:
- Violate any applicable laws, regulations, or third-party rights
- Use services for any unlawful or fraudulent purpose
- Transmit viruses, malware, or other harmful code
- Attempt unauthorized access to our systems or other users' accounts
- Interfere with or disrupt our services or servers
- Engage in data mining, scraping, or similar activities without permission
- Impersonate any person or entity, or misrepresent your affiliation
- Use our services to compete directly with Catalyst Partners
- Reverse engineer, decompile, or disassemble any aspect of our services
- Remove or alter any proprietary notices or labels
4. Intellectual Property Rights
4.1 Our Intellectual Property
All content, methodologies, frameworks, and materials provided by Catalyst Partners remain our exclusive intellectual property. This includes but is not limited to the Synergy Matrix framework, consulting methodologies, reports, presentations, and website content. No license or right to use our intellectual property is granted except as explicitly stated in writing.
4.2 Client Materials
Clients retain ownership of their pre-existing intellectual property and confidential information provided to us. By sharing materials with us, clients grant Catalyst Partners a limited license to use such materials solely for the purpose of providing the agreed services.
4.3 Deliverables
Unless otherwise agreed in writing, clients receive a non-exclusive, non-transferable license to use deliverables created specifically for them. Generic methodologies, tools, and know-how developed or used by Catalyst Partners remain our property.
5. Confidentiality
Both parties agree to maintain strict confidentiality regarding all non-public information exchanged during the course of our relationship. This obligation survives termination of any engagement for a period of five (5) years.
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach by the receiving party
- Was rightfully known before disclosure
- Is independently developed without use of confidential information
- Must be disclosed by law or court order (with prompt notice to the disclosing party)
6. Payment Terms
6.1 Fees and Invoicing
- Fees are specified in individual engagement agreements
- Invoices are issued according to agreed milestones or monthly
- Payment terms are net 30 days unless otherwise specified
- All fees are exclusive of GST and applicable taxes
6.2 Late Payments
- Late payments incur interest at 1.5% per month or maximum allowed by law
- We reserve the right to suspend services for overdue accounts
- Client remains liable for all fees incurred before termination
6.3 Expenses
Reasonable travel and out-of-pocket expenses incurred in providing services will be billed at cost with prior client approval for expenses exceeding S$500.
7. Disclaimers and Limitation of Liability
IMPORTANT: Please read this section carefully as it limits our liability to you.
7.1 Service Disclaimers
- Services are provided on an "as is" and "as available" basis
- We do not warrant specific business outcomes or results
- Recommendations are based on professional judgment and available information
- Implementation of our advice is at client's sole discretion and risk
- We do not guarantee uninterrupted or error-free website access
7.2 Limitation of Liability
To the maximum extent permitted by law, Catalyst Partners' total liability for all claims arising from or related to our services shall not exceed the fees paid by the client for the specific services giving rise to the claim.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, lost business opportunities, or loss of data, even if advised of the possibility of such damages.
7.3 Indemnification
Clients agree to indemnify and hold harmless Catalyst Partners, its partners, employees, and agents from any claims, damages, losses, and expenses arising from: (i) breach of these Terms, (ii) violation of applicable laws, (iii) infringement of third-party rights, or (iv) negligent or wrongful conduct.
8. Termination
8.1 Termination Rights
- Either party may terminate services with 30 days written notice
- Immediate termination allowed for material breach not cured within 10 days
- We may terminate immediately for non-payment or illegal activities
8.2 Effects of Termination
- All outstanding fees become immediately due and payable
- Each party returns or destroys the other's confidential information
- Licenses to use our intellectual property terminate immediately
- Provisions regarding confidentiality, liability, and disputes survive termination
9. Dispute Resolution
9.1 Good Faith Resolution
Parties agree to first attempt resolution through good faith negotiations between senior representatives with decision-making authority.
9.2 Mediation
If direct negotiation fails, disputes shall be submitted to mediation at the Singapore Mediation Centre before pursuing other remedies.
9.3 Arbitration
Unresolved disputes shall be finally settled by arbitration in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (SIAC). The arbitration shall be conducted in English by a single arbitrator in Singapore.
9.4 Governing Law
These Terms are governed by the laws of Singapore without regard to conflict of law principles. Each party submits to the exclusive jurisdiction of Singapore courts for any matters not subject to arbitration.
10. General Provisions
10.1 Entire Agreement
These Terms, together with any engagement agreements, constitute the entire agreement between parties regarding the use of our website and services, superseding all prior agreements and understandings.
10.2 Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
10.3 No Waiver
No waiver of any term or condition shall be valid unless in writing and signed by Catalyst Partners. Failure to enforce any right or provision shall not constitute a waiver of future enforcement.
10.4 Assignment
Clients may not assign or transfer these Terms or any rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.
10.5 Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
10.6 Relationship
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between the parties. Each party is an independent contractor.
